STICKETS – TERMS & CONDITIONS

These Terms & Conditions ("Terms") govern your use of the STICKETS platform, website, mobile applications, and related services (collectively, the "Platform"). By accessing or using STICKETS, you agree to be bound by these Terms. If you do not agree, you must stop using the Platform.

STICKETS LLC ("STICKETS", "we", "our", "us") provides an online ticketing and event management Platform offering primary ticket sales, blockchain-based NFT tickets, and a controlled secondary resale marketplace. STICKETS acts as an intermediary service provider on behalf of independent event organizers ("Organizers").

2. DEFINITIONS

Platform – STICKETS website, mobile app, and related systems.
Organizer – A person or entity that creates, manages, or hosts events on STICKETS.
User – Any individual accessing or using the Platform.
Buyer – A User purchasing a ticket.
Seller – A User reselling a ticket (when resale is enabled).
Ticket – A digital asset representing the right to attend an event (NFT or off-chain equivalent).
NFT Ticket – A blockchain-based asset minted on the Polygon network representing ownership of an event ticket.
Activation – An irreversible process initiated by the User that finalizes the ticket for event entry, after which transfers are disabled.
Service Fee – A fee retained by STICKETS for providing platform services.
Resale Fee – A fee applied to secondary ticket sales.
Organizer Royalty – A percentage of resale revenue transferred to the Organizer.

3. SCOPE OF SERVICES

STICKETS provides:

3.1. Primary Ticketing

Organizers list events and sell primary tickets to Users.
STICKETS issues digital tickets on behalf of Organizers.

3.2. NFT Ticketing & Blockchain

Some tickets are issued as NFTs stored permanently on a public blockchain.
NFT transfers are irreversible and visible publicly.
STICKETS cannot modify, reverse, or delete blockchain data.

3.3. Resale Marketplace

Resale is available only when enabled by the Organizer. The Organizer may set:

Pricing rules
Minimum/maximum resale price
Royalty percentage (default 5%)

STICKETS applies:

5% buyer fee (STICKETS)
5% seller fee (Organizer royalty)

STICKETS is not a party to resale transactions; it only facilitates them through smart contracts.

4. ROLE OF STICKETS

STICKETS is not the event Organizer and is not responsible for:

Event quality
Event timing, programming, delays
Venue accessibility or conditions
Safety or security
Event cancellation or modification

Organizers are solely responsible for all event-related obligations.

5. USER ACCOUNTS

5.1. Registration

Users must register using an email address.
Users must provide accurate information.
Users must be at least 18 years old or as otherwise allowed by Organizer's event rules.

5.2. Account Security

You are responsible for your account credentials.
STICKETS is not liable for unauthorized access resulting from your failure to secure your account.

5.3. Account Termination

We may suspend or terminate accounts that:

Violate these Terms
Engage in fraud
Abuse or harass employees or other users
Attempt to manipulate pricing or bypass restrictions

6. TICKET PURCHASE RULES

6.1. Accuracy of Event Information

Event information is provided solely by the Organizer. STICKETS does not verify or guarantee its accuracy.

6.2. Payment

Payments are processed through third-party providers. By completing a purchase, you authorize these providers to charge your selected payment method.

6.3. Non-Refundability

Tickets are generally non-refundable, except as specified in Section 9 (Refunds).

6.4. Delivery of Tickets

Tickets are delivered digitally via:

Email
User account
Mobile app
Blockchain wallet (for NFT tickets)

7. TICKET ACTIVATION & EVENT ENTRY

7.1. Activation

Tickets become non-transferable when the User clicks "Activate Ticket" inside the Platform. Activation is irreversible.

7.2. Event Entry

You must present a valid QR code or NFT proof of ownership. Organizers may deny entry if:

You violate age restrictions
You violate security policies
You fail identity or verification checks set by the Organizer

STICKETS is not responsible for denied entry.

8. RESELLING TICKETS

8.1. Resale Eligibility

Resale is available only if the Organizer has enabled it.

8.2. Pricing Rules

Organizers may set:

Minimum resale price
Maximum resale price
Mandatory royalties

8.3. Fees

Buyer fee: 5% to STICKETS
Seller fee: 5% to Organizer
Gas fees: covered by STICKETS via paymaster (when applicable)

8.4. Transfer Restrictions

Tickets cannot be transferred after Activation.
NFT transfers are final and irreversible.

8.5. Fraud & Abuse

STICKETS may freeze resale privileges in cases of suspected fraud.

9. EVENT CANCELLATION, RESCHEDULING & REFUNDS

9.1. Cancellation

If an event is canceled:

Ticket price is refunded
STICKETS service fee may be refunded
Bank/payment processing fees are non-refundable

Refunds are issued only after the Organizer confirms the cancellation.

9.2. Rescheduling

If an event is rescheduled:

Users may request a refund
Organizer decides on eligibility and timing

9.3. Organizer-Controlled Refunds

If the Organizer enables refunds:

Eligibility criteria are shown on the event page
Refund method = original payment method

9.4. STICKETS Not Responsible

STICKETS is not responsible for Organizer refusal to refund.

10. ORGANIZER RESPONSIBILITY

Organizers are fully responsible for:

Event legality
Safety and compliance
Age restrictions
Accuracy of event information
Refund decisions
Ticket quotas and pricing
Handling attendee complaints

STICKETS may pass attendee data (name + email) to the Organizer strictly for operational purposes.

11. ORGANIZER PAYOUTS

Organizer payouts occur after the event ends.
Payouts may be temporarily withheld if fraud, disputes, or legal investigations arise.
STICKETS is not responsible for Organizer mismanagement of funds.

12. DATA PROTECTION

By using the Platform, you agree to STICKETS' Privacy Policy, which describes:

What personal data is collected
How data is stored and used
How data is shared with Organizers
User rights under Georgian personal data law

Blockchain data is public, permanent, and cannot be altered.

13. PROHIBITED ACTIONS

Users may not:

Create multiple accounts
Circumvent resale limits
Engage in speculative trading of NFTs
Use bots or automation without authorization
Commit fraud or chargeback abuse
Harass organizers, staff, or other users
Attempt to manipulate event pricing

Violation may result in account termination.

14. INTELLECTUAL PROPERTY

All platform content, branding, and technology belong to STICKETS. Users may not copy, distribute, or reuse any content without permission.

15. LIMITATION OF LIABILITY

STICKETS is not liable for:

Event cancellation, modification, or quality
Organizer behavior or disputes
Loss of blockchain assets due to user error
Wallet compromise or unauthorized access
Network outages, smart contract errors, or blockchain failure
Indirect, incidental, or consequential damages

Maximum liability = amount paid for the disputed transaction.

16. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of Georgia.
Parties must attempt informal resolution first.
Users may contact the Georgian National Competition & Consumer Protection Agency.
If unresolved, disputes shall be resolved by Tbilisi City Court.

17. AMENDMENTS

STICKETS may modify these Terms at any time. Continued use of the Platform indicates acceptance of updated Terms.
